MARTIN Marietta Materials Inc. have received all necessary regulatory approvals for their previously announced combination with Lhoist North America Inc
The US$13.5 billion transaction, which will bring the two organizations together to create a leading North American aggregates and building materials platform and clear leader in lime and specialty mineral products, is now expected to close in the third quarter of 2026, subject to remaining customary closing conditions.
Baron Berghmans, chairman of Lhoist Group, said: ‘This combination is a milestone in our Group’s history. By uniting Lhoist North America with Martin Marietta, we will establish a long-term partnership with one of North America’s premier building materials companies and create an opportunity to participate in the future growth of the combined business.’
Philipp Niemann, chief executive officer of Lhoist Group, added: ‘Combining with Martin Marietta creates a stronger platform for long-term growth and customer service. This transaction strengthens both organizations and is fully aligned with Lhoist’s strategic framework.’
Following completion of the transaction, Mr Niemann is expected to join the board of directors of Martin Marietta Materials, contributing his experience to the company’s future development. Belgium-based Lhoist Group’s other businesses in Europe, Latin America, Asia-Pacific, and the Middle East and North Africa will remain fully owned by the Berghmans family.
